Las Vegas, NV - July 11, 2005 - CommPartners, an IP-based network operator and telephony services and solutions provider, today announced its acquisition of TPC Networks (TPC), a company specializing in the buying and selling of carrier transport minutes. Under the terms of the agreement, TPC will serve as CommPartners' new Carrier Services Division and enable the company to immediately generate expanded revenue streams and deliver enhanced carrier services.

TPC, a privately-held company headquartered in River Vale, NJ, currently bills for tens of millions of minutes per month serving several Tier 1 - Tier 3 domestic and international carrier customers. "With this acquisition, the combination of the CommPartners' proprietary IP network and interconnection with the domestic U.S. public switched telephone network (PSTN) and TPC's carrier services expertise is expected to enable CommPartners to become a solid competitor among carriers providing local termination and origination services for TDM and IP traffic in the U.S.," said David S. Clark, president and CEO of CommPartners.

CommPartners' network is engineered for quality voice services and the company's network expansion will result in CLEC connectivity with rate centers throughout the domestic U.S. PSTN including Hawaii and Alaska.

CommPartners' current coverage area includes an "NFL city footprint," plus Las Vegas (NV), Hawaii, and areas of California, Colorado and Massachusetts. With over 20 state certifications in place, CommPartners has applied for and expects to obtain Competitive Local Exchange Carrier (CLEC) status in all 50 states by 2006, classifying it as one of the largest networks of its type in the U.S. The company has architected its network for business-quality VoIP services, 911 emergency services capabilities and CALEA compliance-emerging issues that pose challenges to many VoIP service providers.
